Terms & Conditions

These Terms & Conditions (“Terms”) apply to services provided by Viytrix (“Viytrix”, “we”, “us” or “our”) to any person or business purchasing or commissioning services from us (“Client”, “you” or “your”).

By accepting a quotation, placing an order, making payment for our services, or otherwise instructing Viytrix to begin work, you agree to be bound by these Terms.


1. About Viytrix

Viytrix provides creative and digital services, which may include:

  • Website design and development
  • Website maintenance and support
  • Graphic design
  • Logo design and brand identity
  • Social media content
  • YouTube thumbnails and graphics
  • Video editing
  • Photo editing
  • Digital advertising and promotional content
  • AI-assisted and AI-generated creative content
  • Other creative or digital services agreed between Viytrix and the Client

The specific services, deliverables, timescales and prices applicable to each project will be set out in the relevant quotation, proposal, invoice or written agreement.

2. Quotations and Scope of Work

Before work begins, Viytrix may provide the Client with a quotation or project specification.

A quotation may include:

  • The services to be provided
  • The agreed price
  • Expected delivery times
  • Number of concepts or revisions included
  • Specific deliverables
  • Any third-party costs
  • Payment requirements

Unless otherwise stated, work outside the agreed scope is not included in the quoted price.

Requests for additional features, pages, designs, revisions, content or other work may result in additional charges.

Viytrix will make reasonable efforts to notify the Client before undertaking substantial additional chargeable work.

3. Pricing

All prices will be communicated to the Client before work begins.

Prices may vary depending on the complexity, scope and requirements of a project.

Unless specifically stated otherwise, the following may be charged separately:

  • Domain registration
  • Website hosting
  • Premium software or plugins
  • Stock photography or video
  • Fonts and other licensed assets
  • Third-party subscriptions
  • AI platform usage
  • Additional revisions
  • Additional development or design work

Any applicable taxes or charges will be handled in accordance with applicable law.

4. Payment

Payment terms will be specified in the relevant quotation or invoice.

Viytrix may require a deposit or full payment before work begins.

For projects involving staged payments, Viytrix may suspend work if an agreed payment is overdue.

Unless otherwise agreed in writing, final deliverables, website launch, source files or transfer of ownership may be withheld until all outstanding invoices relating to the project have been paid in full.

If payment remains overdue, Viytrix reserves the right to suspend services and seek payment of outstanding amounts in accordance with applicable law.

5. Client Responsibilities

The Client agrees to provide Viytrix with information, content, feedback and materials reasonably required to complete the project.

The Client is responsible for ensuring that information and materials supplied to Viytrix are accurate and that they have the necessary rights and permissions to use those materials.

Client-supplied materials may include:

  • Logos
  • Photographs
  • Video footage
  • Written content
  • Music
  • Brand assets
  • Fonts
  • Product information
  • Personal or business information

Viytrix is not responsible for infringement or legal issues arising solely from materials supplied by the Client where the Client did not have the necessary rights or permissions.

Delays caused by the Client, including delayed responses, missing information or late approval, may affect the project delivery date.

6. Revisions and Amendments

The number of revisions included in a project will be stated in the relevant quotation where applicable.

A revision means a reasonable modification to an existing concept or deliverable.

Requests that substantially change the original brief, require a new concept, introduce additional functionality or expand the project scope may be treated as additional work.

Additional revisions or work outside the agreed scope may incur additional charges.

Viytrix will make reasonable efforts to communicate any additional charges before carrying out substantial additional work.

Once a final deliverable has been approved by the Client, further changes may be chargeable.

7. Website Design and Development

Where Viytrix develops a website, the website will be created according to the agreed project specification.

The Client is responsible for reviewing the website before final approval and launch.

Unless otherwise agreed, website development does not automatically include:

  • Ongoing content updates
  • Unlimited technical support
  • Ongoing maintenance
  • SEO services
  • Marketing services
  • New features after completion
  • Additional pages not included in the original specification
  • Third-party subscription costs

Additional services may be purchased separately.

Viytrix will make reasonable efforts to ensure that completed websites function as intended across commonly used modern browsers and devices. However, Viytrix cannot guarantee identical appearance or behaviour across every browser, device, operating system or third-party service.

8. Website Hosting and Domains

Website hosting and domain registration may be provided by Viytrix or by a third-party provider.

Unless otherwise agreed, domain registration and hosting fees are separate from website development costs.

Where the Client owns or controls their domain, the Client remains responsible for maintaining their domain registration and associated fees.

Third-party hosting, domain, software, plugin and platform providers operate independently from Viytrix. Viytrix cannot guarantee uninterrupted availability of third-party services.

Viytrix is not responsible for downtime, outages, service changes, account suspension or other failures caused by third-party providers.

9. Website Maintenance and Post-Launch Support

Unless otherwise stated in writing, website development does not include indefinite ongoing maintenance.

Viytrix may provide a limited period of post-launch support where this is included in the Client's quotation.

Unless otherwise agreed, websites include 30 days of post-launch support for genuine bugs or technical issues directly relating to the original agreed website build.

Post-launch support does not include:

  • New features
  • New pages
  • Redesigns
  • Major content changes
  • Changes requested by the Client
  • Problems caused by third-party services
  • Problems caused by modifications made by the Client or another developer
  • Ongoing website management

After the applicable support period, ongoing maintenance may be purchased separately.

Maintenance packages may include services such as technical updates, minor content changes, troubleshooting and general website upkeep, depending on the package purchased.

10. Graphic Design and Branding

Graphic design services may include logos, branding, social media graphics, thumbnails, promotional materials and other visual content.

The specific number of concepts, revisions and final file formats included will be stated in the relevant quotation where applicable.

Unused concepts, rejected designs, drafts, working files and development materials remain the property of Viytrix unless otherwise agreed in writing.

Source files such as editable design files may not be included unless specifically stated in the quotation.

11. Video and Photo Editing

Viytrix may provide video and photo editing based on materials supplied by the Client.

The Client is responsible for ensuring that they have the necessary rights and permissions to provide and use any footage, photographs, music or other materials supplied to Viytrix.

The number of revisions, final formats and specifications included will be stated in the relevant quotation where applicable.

Additional edits or substantial changes outside the agreed scope may incur additional charges.

12. AI-Assisted and AI-Generated Content

Viytrix may use artificial intelligence and machine-learning tools as part of the creative, development, editing or production process.

AI may be used to assist with, among other things:

  • Images
  • Video
  • Graphics
  • Copywriting
  • Concepts
  • Design development
  • Editing
  • Creative ideation
  • Other digital content

AI-generated or AI-assisted content can contain inaccuracies, unexpected results, visual or technical imperfections and other limitations.

Viytrix will make reasonable efforts to review, edit and refine AI-assisted content before delivery where appropriate.

However, Viytrix does not guarantee that AI-generated content will be completely free from errors or that it will be capable of receiving exclusive copyright protection.

Third-party AI platforms may have their own terms, licences, restrictions and usage policies. Viytrix cannot guarantee the continued availability, functionality or policies of any third-party AI platform.

Where appropriate, the Client may be informed if significant AI-generated material forms part of the final deliverable.

13. Intellectual Property and Ownership

Unless otherwise agreed in writing, ownership of final bespoke deliverables created specifically for the Client will transfer to the Client once the relevant project has been paid for in full.

This transfer does not automatically include:

  • Unused concepts
  • Rejected designs
  • Drafts
  • Internal development materials
  • Viytrix's pre-existing intellectual property
  • Viytrix templates
  • Proprietary tools or systems
  • Third-party assets
  • Stock assets
  • Fonts subject to separate licences
  • Software
  • AI platforms or their underlying technology

Where third-party materials are used, their use remains subject to the relevant third-party licence or terms.

Viytrix retains ownership of its pre-existing tools, processes, templates, techniques and know-how.

14. Source and Working Files

Unless specifically included in the quotation, Viytrix is not required to provide editable source files, working files, project files or development files.

Where source files are purchased or included, they will be supplied in the format agreed between Viytrix and the Client.

15. Portfolio and Promotional Use

Unless the Client requests confidentiality in writing before the project is completed, Viytrix may display completed work for portfolio and promotional purposes.

This may include displaying work on:

  • The Viytrix website
  • Social media
  • Marketing materials
  • Portfolio platforms
  • Presentations

Viytrix will make reasonable efforts not to disclose confidential information belonging to the Client when showcasing completed work.

Where a Client requires a project to remain confidential or unpublished, this should be agreed in writing.

16. Client Approval

The Client is responsible for reviewing final deliverables before approving them.

Approval confirms that the Client considers the deliverable to meet the agreed brief, subject to any applicable warranty, support or statutory rights.

Viytrix is not responsible for errors that were present in Client-approved content or information supplied by the Client.

17. Cancellation by the Client

The Client may request cancellation of a project before completion.

If work has already commenced, the Client may remain responsible for payment for work completed up to the date of cancellation, together with any non-refundable third-party costs reasonably incurred for the project.

Any deposit or advance payment will be handled in accordance with the agreed contract and applicable law.

Nothing in these Terms removes or restricts any statutory cancellation, refund or consumer rights that apply to the Client.

18. Cancellation by Viytrix

Viytrix may cancel or suspend a project where:

  • The Client fails to make required payments
  • The Client repeatedly fails to provide required information or feedback
  • The Client requests unlawful or inappropriate work
  • The Client materially breaches these Terms
  • Continuing the project becomes impractical due to circumstances outside Viytrix's reasonable control

Where appropriate, Viytrix will communicate with the Client before cancellation.

Any refund due will be determined in accordance with the agreed contract and applicable law.

19. Project Delays and Inactivity

Estimated completion dates are provided in good faith and may change depending on project requirements.

Viytrix is not responsible for delays caused by:

  • Client delays
  • Late feedback
  • Missing materials
  • Changes to the project scope
  • Third-party service outages
  • Technical failures outside Viytrix's reasonable control
  • Events beyond Viytrix's reasonable control

Where a Client stops responding for an extended period, Viytrix may place the project on hold.

Additional charges may apply if a project is later restarted and requires substantial additional work.

20. Third-Party Services

Viytrix may use third-party platforms and services in delivering projects.

These may include hosting providers, domain registrars, design software, AI platforms, stock libraries, analytics services, payment providers and other digital services.

Third-party services are subject to their own terms and policies.

Viytrix is not responsible for changes, outages, price increases, restrictions or discontinuation of third-party services.

Where a third-party service is required for the Client's website or project to operate, the Client may be responsible for ongoing subscription or usage costs.

21. Copyright and Client Materials

The Client warrants that they have the necessary rights, licences and permissions for materials supplied to Viytrix.

The Client agrees to indemnify Viytrix, to the extent permitted by law, against claims arising directly from the Client's unauthorised use or supply of copyrighted, trademarked or otherwise protected material.

Viytrix will not knowingly use copyrighted third-party material without appropriate permission or licensing where such permission or licensing is required.

22. Confidentiality

Both Viytrix and the Client agree to treat genuinely confidential business or project information received from the other party as confidential.

This obligation does not apply to information that:

  • Is publicly available
  • Was already lawfully known
  • Becomes publicly available without breach of these Terms
  • Is required to be disclosed by law

23. Data Protection and Privacy

Viytrix may process personal information provided by Clients where necessary to provide its services.

Personal information will be handled in accordance with Viytrix's Privacy Policy and applicable data protection legislation.

Where a project involves processing personal data on behalf of a Client, additional data protection arrangements may be required depending on the nature of the service.

24. Liability

Viytrix will provide its services with reasonable care and skill.

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

Viytrix will not be responsible for losses caused by matters outside its reasonable control, including failures of third-party platforms, hosting providers, domain providers, software providers or services.

To the extent permitted by law, Viytrix will not be liable for indirect or consequential losses, loss of profits, loss of business, loss of opportunity or loss of anticipated savings arising from a Client's use of a service.

Nothing in these Terms affects any statutory rights that cannot legally be excluded or limited.

25. Events Outside Our Control

Viytrix will not be responsible for failure or delay caused by circumstances beyond its reasonable control.

Such circumstances may include:

  • Internet or infrastructure failures
  • Hosting outages
  • Software failures
  • Cyber incidents
  • Third-party service outages
  • Natural disasters
  • Government action
  • Industrial disputes
  • Power failures
  • Other circumstances reasonably outside Viytrix's control

Viytrix will make reasonable efforts to minimise disruption where possible.

26. Complaints and Disputes

If the Client has a concern regarding a service, they should contact Viytrix as soon as reasonably possible.

Viytrix will make reasonable efforts to investigate and resolve genuine complaints.

Where a dispute cannot be resolved informally, the parties may consider appropriate alternative dispute resolution before pursuing formal legal proceedings.

27. Changes to These Terms

Viytrix may update these Terms from time to time.

The Terms applicable to a particular project will generally be the version agreed at the time the Client enters into the relevant agreement, unless a change is required by law or otherwise agreed between the parties.

28. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.

29. Entire Agreement

The quotation, project specification, invoice, written agreement and these Terms together form the agreement between Viytrix and the Client in relation to the relevant services.

Where there is a conflict between these Terms and a specific written project agreement, the specific project agreement will take precedence to the extent of the conflict.

30. Governing Law

These Terms are governed by the laws of England and Wales, unless applicable law requires otherwise.

The courts of England and Wales will have jurisdiction over disputes, subject to any mandatory consumer rights or jurisdictional requirements that apply.
